In order to use [ChatAI] member value-added services (referred to as: this service), you should read and abide by the "ChatAI Member Service Agreement" (referred to as: this agreement). Please be sure to carefully read and fully understand the content of each clause, especially the corresponding clauses such as exemption or limitation of liability, as well as the separate agreement for opening or using a certain service, and choose to accept or not. Exclusions or limitations of liability clauses may be in bold to remind you.

You have no right to use the service unless you have read and accepted all the terms of this agreement. Any purchase or acceptance of this service by you, as well as any use of this service, such as logging in or viewing, is deemed to have read and agreed to be bound by this agreement.

Minors should review and perform this agreement accompanied by their legal guardians. Minors' exercise and performance of the rights and obligations under this agreement are deemed to have been approved by their legal guardians.

1. Scope of the Agreement

This agreement is an agreement between you and ChatAI regarding your use of this value-added service.

1.2 Your agreement to this agreement shall be deemed as your voluntary acceptance and compliance with all service specifications and related agreements and management specifications involved in the services provided by ChatAI, including this agreement, including but not limited to the ChatAI service agreement and privacy policy issued and revised by ChatAI from time to time. Policies, ChatAI membership rules, activity rules, usage rules, announcements, reminders, notices, etc.

2. Service content

2.1 Membership value-added services refer to services in which users can enjoy privileges in ChatAI products, calculations, etc. provided by ChatAI or a third party that ChatAI cooperates with after paying a certain service fee in accordance with the method specified by ChatAI, referred to as: this service.

2.2 ChatAI may launch different member value-added services according to different products and service types, adjust the existing member value-added service types, member rights, etc., and continuously introduce new member value-added service types. Specific membership value-added service types and service content are subject to the announcement on the relevant service page and the actual service content provided, and will take effect according to law after the announcement. You can choose the corresponding service according to your needs.

2.3 Special instructions on advertisements: During the process of using ChatAI membership services, you will come into contact with commercial advertisements or other types of commercial information in various ways. ChatAI will provide " Advertisement-free privilege", the scope of "advertising-free privilege" only refers to the content with the "advertising" logo in ChatAI, excluding third-party information and other content. Advertisement privileges include automatically skipping advertisements for you, and you can also manually close content recommendations; however, this privilege may still present you with different types of advertisement services due to restrictions from copyright owners or other restrictions, and it does not exclude ChatAI from other means Advertisement or commercial information delivered. You understand and accept this, you do not pursue and exempt ChatAI from relevant responsibilities, and ChatAI promises to minimize the impact on your experience.

2.4 You understand and agree that ChatAI may push promotional information, content recommendations or other relevant commercial information to you by email, site information, SMS, WeChat, website announcements or other means.

3. Membership fees and deadlines

3.1 Fee standard and payment

3.1.1 This service is a paid service provided by ChatAI. You must pay the corresponding fee according to the charging standard of this service before using this service.

3.1.2 ChatAI may modify and change the charging standards and methods of this service according to the overall planning of this service. ChatAI will display the aforementioned modifications and changes on the corresponding service page. If you need to obtain and use this service, please understand the charging standards, methods and other information about this service in advance. Your activation and payment behaviors are deemed to be fully aware of the charging standards and methods of ChatAI's fee-based services.

3.1.3 You can activate this service after paying the fee according to the contract through the existing method of Apple's in-app purchase system designated by ChatAI and the method designated by ChatAI in the future.

3.1.4 ChatAI hereby declares that ChatAI does not accept any form of refund request after you pay, unless due to ChatAI product technical reasons, you are repeatedly deducted when you purchase or you cannot enjoy the purchased services due to ChatAI product technical reasons , you can file a refund appeal, and ChatAI can handle the refund for you after verification, but you need to provide the corresponding information and cooperate with ChatAI to handle it. You understand and clearly accept the above conditions, if you do not accept, please choose paid services carefully.

3.2 Service Term

3.2.1 The service period of this service is subject to the period you choose and pay the corresponding service fee. This service has monthly, seasonal and annual services. You can also log in to the ChatAI member center or the corresponding page of this service to inquire. After the service period of membership service expires, ChatAI will stop providing membership service to you, and ChatAI may remind you to renew in time before the service period expires.

3.2.2 If you want to enjoy the services of continuous purchase of membership services and automatic fee deduction, you can apply to ChatAI according to the operation guidelines, and decide whether to continue to apply after carefully reading the "Membership Continuous Package Service". For details, please refer to this agreement Article 5 "Member Continuous Package Service".

4. Opening of membership services, account management and cancellation

4.1 You will activate this service after you pay the fee in accordance with the agreement through the method specified by ChatAI. After the service is opened, it is limited to your use on the ChatAI platform, not on any other platform, and cannot be provided to any third party for use without the written consent of ChatAI, including but not limited to gifting, selling, renting, borrowing, sharing, transfer, etc. Way.

4.2 Account Management

(1) You fully understand and agree that you are responsible for the actions you log into your account, and all actions under this account are regarded as your own actions, including but not limited to any content you publish and the consequences arising therefrom , including risks arising from reliance on the correctness, completeness or usefulness of the content. You should make your own judgment on the content provided by this service and bear the risks arising from the use of relevant content.

(2) You should correctly use and properly keep and maintain your member account and password. In case of leakage, loss, theft, etc., and such acts are not caused by ChatAI's legal fault, the loss will be borne by you.

(3) Member services are limited to the use of the application account; the recharge records and data between each account cannot be transferred, migrated, transferred, gifted, sold, rented, or shared, regardless of whether the accounts are owned by the same user, please You should pay attention to distinguish when logging in and/or participating in activities to avoid losses.

4.3 Use of account

You may not activate the Service for yourself or others through any of the following methods:

(1) Activate this service for yourself or others for non-personal purposes such as profit and business operation;

(2) Activate this service for yourself or others through any program or software such as robot software, spider software, crawler software, screen swiping software, etc.;

(3) Activate this service for yourself or others through any improper means or in a way that violates the principle of good faith;

(4) Activate the service through a method not specified by ChatAI;

(5) Activate the service by infringing on the legitimate rights and interests of ChatAI or others;

(6) Activate the service for yourself or others through other methods that violate relevant laws, administrative regulations, and national policies.

You understand and agree that if you have the above behaviors, ChatAI has the right to take corresponding measures (including but not limited to shutting down the service without notice, requesting you to compensate ChatAI for all losses caused by it, and requesting judicial authorities to pursue legal responsibility) to pursue your relevant responsibilities .

4.4 Cancellation of member account

(1) Except that ChatAI cancels the user's membership account in accordance with the agreement or announcement and relevant laws and regulations, you can cancel the membership account by applying online or contacting ChatAI's customer service. You confirm that once your account is canceled, you will not be able to continue to use membership services. And all content, information, data, and records involved in your use of related services through this account will be deleted or anonymized; unless otherwise provided by laws and regulations, you will no longer be able to retrieve, access, obtain, continue to use and find There is no right to ask ChatAI to retrieve the aforementioned content, information, data, and records.

(2) Please refer to the "Important Reminders for Account Cancellation" for the account cancellation process, prerequisites for cancellation, consequences of cancellation and precautions.

5. Continuous package service for members

5.1 Continuous package service type

The continuous monthly subscription service of ChatAI is currently available, and will continue to increase or adjust the continuous subscription service according to the needs of members.

5.2 Service Description

(1) This service is based on your demand for automatic renewal, provided that you have activated this service, it is a service launched to avoid losses caused by your failure to renew due to negligence or other reasons. You authorize ChatAI to deduct the next billing cycle from the balance of your member's own recharge account, third-party payment account bound to the member account, etc. (hereinafter collectively referred to as "account") when your current ChatAI membership is about to expire. Fees, the premise of this service is that you have bound your ChatAI member account with the above-mentioned account, and can successfully deduct money from the above-mentioned account.

(2) Automatic renewal specifically refers to, based on the premise of the previous paragraph of this article, ChatAI charges the fee for ChatAI members’ continuous package products in the next billing cycle through the above-mentioned account. You need to ensure that ChatAI can successfully deduct the money from the above-mentioned account. You will be solely responsible for renewal failures caused by insufficient deductible balances in the above-mentioned accounts.

5.3 Opening of continuous package service

(1) If you open this service from a non-IOS terminal, it is deemed that you authorize ChatAI to have the right to receive from you when your membership is about to expire, including but not limited to: The service fee for the next billing cycle will be withheld from the payment channels such as Tongtong and WeChat. The billing cycle will be based on the cycle you selected before the deduction.

(2) For the selected payment channel, you must ensure regular attention and ensure that there is sufficient balance under the account of the payment method to meet the application of the continuous package service. If the application of the continuous package service cannot be satisfied due to the defects of the aforementioned reasons (including but not limited to: the balance is not enough for you to choose the continuous package service), ChatAI has the right to suspend the membership service you have accessed through the continuous package service.

5.4 Validity Period of Continuation Package Service

(1) Unless otherwise specified by ChatAI, the continuous package service you get is valid for a long time.

(2) ChatAI may send you reminders for the renewal of the continuous package service by sending text messages or in-site messages before the expiration of the ChatAI service period you choose. If you do not cancel the automatic renewal function after receiving the reminder message, ChatAI has The right to see you entrust ChatAI to continue to pay the corresponding service fees through your default payment method.

(3) It is up to you to choose whether to cancel the continuous package service. If you choose not to cancel, it is deemed that you agree to ChatAI’s irregular deduction attempt before the expiration of the term in accordance with this agreement. Once the deduction is successful, ChatAI will open the next account for you. Continuous package service for one billing cycle. If the ChatAI package service price is adjusted before/at the time of automatic renewal, the currently effective price shall prevail.

(4) ChatAI reminds you in particular: After you choose to use the continuous package service, ChatAI will consider you to have subscribed to ChatAI's related paid services for the fee that you entrust ChatAI to pay in your default payment method through the continuous package service. Therefore, ChatAI will not refund the fees paid by you in any way.

5.5 Unsubscribing from the Continuation Package Service

You can choose to unsubscribe from this service according to the prompts on the ChatAI page.

Reminder: After the successful cancellation of the continuous package service, it will not affect your membership rights that have taken effect in the current period, and the membership rights will not be renewed after the expiration of the membership rights. However, before you choose to terminate the continuous package service, you have entrusted ChatAI to automatically renew the deduction order, which is still valid, and ChatAI will not refund the fee deducted based on this order.

6. Code of Conduct for Members

6.1 When using this service, you shall not use this service to engage in the following behaviors, including but not limited to:

(1) Publish, transmit, disseminate, and store content that violates national laws, endangers national security and unity, social stability, public order and good customs, social morality, and insults, defamation, obscenity, and violence;

(2) Publish, transmit, disseminate, and store content that infringes on other people's legal rights such as reputation rights, portrait rights, intellectual property rights, and trade secrets;

(3) Fabricating facts and concealing the truth to mislead and deceive others;

(4) Publish, transmit, and disseminate advertising information and spam;

(5) Engaging in other violations of laws and regulations (including but not limited to "Copyright Law of the People's Republic of China", "Regulations of the People's Republic of China on the Protection of Computer Information System Security", "Regulations on the Protection of Computer Software", "Regulations on the Administration of Internet Electronic Bulletin Services", " Laws, regulations, policies, public order and good customs, social morality, etc. related to computers and the Internet, etc.

6.2 This service is for your personal use only, unless you have the written permission of ChatAI, you are not allowed to do the following:

(1) Collect user names, emails and other relevant information of other users in the service by any means, and interfere and harass other users by sending spam, chain mail, spam text messages, instant messages, etc.;

(2) Publish information including advertisements, publicity, promotions, etc. through this service;

(3) Re-license this service to others;

(4) Other acts without ChatAI's written permission.

6.3 Changes, Suspension or Termination of Services

6.3.1 The suspension or termination of this service includes the following situations:

(1) You voluntarily suspend or terminate, including but not limited to membership expiration and failure to renew;

(2) ChatAI voluntarily suspends or terminates the service because of your breach of contract;

(3) ChatAI suspends or terminates the service due to the requirements of the country or relevant government regulatory authorities or when a force majeure event occurs;

(4) Other services should be suspended or terminated according to laws and regulations.

6.3.2 You fully understand and agree that due to the special nature of Internet services, ChatAI may modify, change, suspend or terminate the provision of some or all of the services to you in accordance with relevant laws and regulations, mutual agreement, or other necessary circumstances. At that time, ChatAI We will protect your legitimate rights and interests in accordance with the law. And you agree that the services provided in accordance with this service agreement can be changed, suspended or terminated without prior notice, and if you continue to use the changed services, you will be deemed to agree to the changes. The circumstances described in this article are not deemed to be a breach of contract by ChatAI, and ChatAI does not need to bear any legal liability to you.

6.3.3 ChatAI's failure to exercise or delay in exercising its rights under this agreement does not constitute a waiver of these rights, and the single or partial exercise of any of its rights under this agreement does not exclude the exercise of any other rights .

6.4 Special note: If you click on the third-party service content (excluding the "exclusive calculation" listed in the membership benefits) while using the ChatAI service, you will enter the service page provided by the third party, and the third party will provide you with services ( including fee-based services, if any). You understand and acknowledge that such service content is provided and responsible by a third party, and has nothing to do with ChatAI, nor is it regarded as ChatAI's membership rights.

7. Liability for breach of contract

7.1 Handling of breach of contract

If ChatAI discovers or receives reports from others that you have violated this agreement, ChatAI has the right to make independent judgments in accordance with the law and take technical measures to delete, block or disconnect the relevant information. At the same time, ChatAI has the right to take measures against you depending on the nature of your behavior, including but not limited to suspending or terminating part or all of this service, suspending or terminating your use of ChatAI members, and pursuing your legal responsibilities, and ChatAI does not need to refund you any You shall be responsible for the losses caused to you, and you shall also compensate for the losses caused by ChatAI (including but not limited to direct economic losses, goodwill losses, compensation paid to external parties, settlement fees, lawyers fees, legal fees and other reasonable expenses), and the payment shall be completed within the time limit required by ChatAI.

7.2 Handling of damages to third parties

If you have violated any of the provisions of this agreement and caused any third-party damages, you shall be solely responsible; if ChatAI suffers losses as a result, you shall also compensate.

8. Others

8.1 Effectiveness of the agreement

Your use of this service is deemed to have read and agreed to be bound by this agreement. Unless otherwise stipulated in this agreement, this agreement becomes effective after you choose to accept or use this service until the termination of this service.

8.2 Applicable law

The establishment, entry into force, performance, interpretation and dispute resolution of this agreement shall be governed by the laws of the mainland of the People's Republic of China (excluding conflict of laws).

8.3 Validity of Terms

Part of the terms of this agreement is invalid or unenforceable for any reason, which will not affect the validity and execution of the remaining terms and are binding on both parties.
